Result of General Meeting, update re grant of options and

Total Voting Rights

r4e, the transatlantic media and entertainment company, is pleased to announce that at its general meeting held earlier today, all resolutions were duly passed.

Following the passing of the resolutions, the 366,666,668 new ordinary shares of 0.5p each in the Company (the "Ordinary Shares") issued pursuant to the placing announced on 04 December 2017 are expected to be admitted to trading on AIM on 21 December 2017 ("Admission").

Update re grant of options

As announced on 04 December 2017, the Company is intending to grant options over new Ordinary Shares to Marc Boyan immediately following Admission (the "CEO Options"). It is anticipated that the number of CEO Options that will be granted will be 124,635,959, representing 12.45% of the Company's share capital, as enlarged by Admission. The CEO Options will be subject to the performance criteria set out in the announcement on 04 December 2017 and a further announcement will be made following the grant of the CEO Options.

Total Voting Rights

With effect from Admission, the Company's issued ordinary share capital will comprise 1,001,079,415 Ordinary Shares, with one voting right per share. The Company does not hold any shares in treasury. Therefore, the total number of Ordinary Shares and voting rights in the Company will be 1,001,079,415. This figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company pursuant to the FCA's Disclosure Guidance and Transparency Rules.
