Transaction in own shares
QinetiQ Group plc (the Company) announces that on 28 February 2024 it has purchased, in accordance with the authority granted by shareholders at the general meeting of the Company held on 6 February 2024, the following number of its ordinary shares of 1 pence each (Shares) on the London Stock Exchange pursuant to its existing £100 million share buyback programme which was announced on 16 January 2024.
The Company intends to cancel the purchased shares.

This announcement is prepared on a trade basis. It is expected the shares purchased will be delivered to the Company within two working days. The total voting rights referred to below is prepared on a settlement basis.
Following the purchase of these shares, the remaining number of ordinary shares in issue will be 576,559,029. The Company does not hold any ordinary shares in treasury. Therefore, the total voting rights in the Company will be 576,559,029.
The figure of 576,559,029 may be used by shareholders (and others with notification obligations) as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Disclosure and Transparency Rules.
