Director/PDMR Shareholdings
Pelatro Plc (AIM: PTRO), the global telecom Multichannel Marketing Hub software specialist, announces the following transfer of ordinary shares of 2.5 pence each in the capital of the Company ("Ordinary Shares") by certain Directors and PCAs.
The Company was notified on 9 January 2020, that on 7 January 2020 Kiran Menon, Varun Menon and Sudeesh Yezhuvath (together the "Transferring Shareholders"), transferred their total shareholdings in Pelatro, an aggregate of 12,993,553 Ordinary Shares, to Bannix Management LLP ("Bannix"). The transfer of Ordinary Shares was made for nil consideration. A summary of the shareholdings of the Transferring Shareholders can be found in the table below.
Legislation in India restricts the direct private ownership of securities by founding Indian individuals in overseas companies which have subsidiaries. Bannix is registered in India and has been established for the sole purpose of holding the Ordinary Shares of the Transferring Shareholders as a result of this, which are in exactly the same proportion as their original personal direct shareholdings in Pelatro. Following this transfer, Bannix has an interest in 12,993,553 Ordinary Shares in the Company, equivalent to approximately 39.94%. It holds no other assets and has no other shareholders.
Subash Menon and Sudeesh Yezhuvath's entire beneficial interest in the Ordinary Shares of the Company are now through Bannix, and their underlying beneficial holding in the Company remains unchanged pursuant to the transfer.
