Issue of Shares
On 20 August last year, TSE completed the acquisition of Wilton International Consulting Limited ("Wilton") following the approval by the Company's independent shareholders of the acquisition and the issue of the consideration shares to the vendors. Pursuant to the acquisition agreement, Robin Courage and Lars Haue-Pedersen (both directors of the Company) were each to receive 4,000,000 new ordinary shares of 0.1p each in the share capital of the Company (the "Second Consideration Shares") on the first anniversary of admission.
Accordingly the Second Consideration Shares have today been allotted to each of Robin Courage and Lars Haue-Pedersen. Following the issue of the Second Consideration Shares, the interests of Robin Courage and Lars Haue-Pedersen are as follows:

Application will be made therefore for a total of 8,000,000 new Ordinary Shares to be admitted to trading on AIM, which will rank pari passu with the existing Ordinary Shares. Trading in the new Ordinary Shares on AIM is expected to commence on or around 9 October 2008. The enlarged issued share capital of the Company will amount to 809,600,000 Ordinary Shares.
