Director/PDMR/PCA Dealing Notifications
Further to the Director/PDMR Shareholding announcements made on 26 January 2021, 19 March 2021, 2 December 2022, 8 December 2022 and 19 January 2023, PRIM has received notifications in relation to share dealings from Rupert Labrum, Executive Chairman of PRIM and a PDMR (for the purpose of the UK Market Abuse Regulation ("UK MAR")), following a request he received from the Financial Conduct Authority in relation to his shareholding in the Company and dealings in the ordinary shares of the Company between January 2021 to present.
Rupert Labrum's current aggregate interest in the Company (whether directly or indirectly) is 33,375,000 ordinary shares in the capital of the Company ("Relevant Shares"). For the purpose of UK MAR, each of Susan Labrum and Lucy Labrum are considered to be a person closely associated ("PCA") with Rupert Labrum.
As at the date of this announcement, Relevant Shares are held in family named accounts of Rupert Labrum and his PCAs as set out in the table below.

The announcement of 19 January 2023 did not include Lucy Labrum's shareholding within Rupert Labrum's interest leading to his interest in Ordinary Shares being misstated as 33,650,000. The correct figure should have been 35,328,194, as stated in the table above. In addition, 250,000 of the 2,400,000 Ordinary Shares acquired by Rupert Labrum as announced by the Company on 19 January 2023, were actually acquired by Susan Labrum. Rupert Labrum has provided an updated PDMR form below to clarify the dealings.
2024 Director/PDMR and PCA Dealing
In conjunction with the above clarification, the Company announces that it has received notification that Rupert Labrum and Susan Labrum made the following disposals of Ordinary Shares in 2024 ("2024 RL/SL Disposals"). The details relating to the 2024 RL/SL Disposals have not been previously notified to the Company. Further details are set out in the Notification of Dealing Form below. The 2024 RL/SL Disposals were made following the inclusion of Lucy Labrum's holding as Relevant Shares and were intended to reduce Rupert Labrum's interest in the Ordinary Shares to the figure contained in the 19 January 2023 announcement.

Following the LL Purchases and the LL Disposals, the aggregate holding of Lucy Labrum amounts to 1,275,000 Ordinary Shares, representing approximately 0.91 per cent. of the Company's issued share capital. The Ordinary Shares which comprise the LL Purchases represent approximately 2.76 per cent. of the Company's issued share capital. The Ordinary Shares which comprise the LL Disposals represent approximately 1.85 per cent. of the Company's issued share capital.
26 January 2021 PDMR dealing clarification
In addition to the above clarification and disclosures, the Company announces that it has received notification in relation to the share dealings by Rupert Labrum announced on 26 January 2021. On 26 January 2021, the Company announced that Rupert Labrum had acquired 2,832,177 Ordinary Shares. The correct figure (including dealings by Susan Labrum) is 832,177, as the original announcement included in error dealings by family members who should not have been included as PCAs. Rupert Labrum has provided an updated PDMR form below to clarify the dealings. At the date of the announcement made on 26 January 2021, Rupert Labrum had an interest (whether directly or indirectly) of 26,575,789 Ordinary Shares as set out in the table below.
