7 May 2009 Panther Securities PLC (the "Company") Directors' Shareholding

The Company was notified yesterday that, on 1 May 2009, Mr A. S. Perloff, Chairman, disposed by way of a gift, 200,000 ordinary shares in the capital of the Company (the "Ordinary Shares") (the mid-market price of an Ordinary Share being 237.5 pence on that date), equivalent to 1.19 per cent. of the issued voting share capital of Company. Following these gifts Mr A. S. Perloff is now beneficially interested in 4,176,213 ordinary shares, equivalent to 24.76 per cent. of the issued voting share capital of the Company, of which 115,000 (90,000 prior to the gift) Ordinary Shares, equivalent to 0.68 per cent. of the issued voting share capital of the Company, are held by his wife, Mrs K.S. Perloff.

These gifts were to family members including some minors, the following transfers are disclosed:

Mr J. H. Perloff Executive Director 35,000 ordinary shares* Mr S. J. Peters Finance Director 25,000 ordinary shares

* 10,000 of these are held by Mr J. H. Perloff on behalf of a minor.

Following these gifts, Mr J. H. Perloff is now interested in 120,000 Ordinary Shares, equivalent to 0.71 per cent. of the issued voting share capital of the Company and Mr S. J. Peters is now beneficially interested in 142,000 Ordinary Shares, equivalent to 0.84 per cent. of the issued voting share capital of the Company.
