Durlacher Corporation PLC31 March 2005 PRESS ANNOUNCEMENTEMBARGOED UNTIL 07:00AM 31 March 2005 Durlacher Corporation PlcPROPOSED ACQUISITION OF PANMURE GORDON & CO., LIMITEDPOSTING OF CIRCULAR Further to the announcement dated 24 March 2005, Durlacher announces that on 30March 2005 it posted to Shareholders a circular relating to the proposedacquisition of the entire issued share capital of Panmure Gordon & Co., Limitedby Durlacher (the "Acquisition"). The Acquisition is conditional upon, interalia, the approval of Durlacher's Shareholders in general meeting. Accordingly,the Shareholder circular contains a notice of an extraordinary general meeting,such meeting to be held at 10.00am on Friday, 22 April 2005. Completion of theAcquisition is expected to take place on Tuesday, 26 April 2005. Following the expected lifting of the suspension from the Official List of theOrdinary Shares later today, the Existing Ordinary Shares will continue to belisted on the Official List pending admission of the Enlarged Share Capital totrading on AIM, which is expected to occur on Tuesday, 26 April 2005. In theevent that the resolutions necessary to approve the Acquisition are not approvedby Shareholders at the Extraordinary General Meeting, the Company's applicationfor admission to AIM will lapse and its listing on the Official List willremain. Copies of the Shareholder circular are available to the public, free of charge,from the registered office of Durlacher, Moorgate Hall, 155 Moorgate, LondonEC2M 6XB during normal business hours on any weekday (Saturdays and publicholidays excepted) until the conclusion of the Extraordinary General Meeting.
