The Panel has confirmed on an "ex-parte basis" that this dealing has no Code consequences.
Prior to the Announcement, Parkmead did not hold any Shares in DEO. Parkmead has not acquired any Shares since the date of the Announcement. Parkmead has agreed to acquire, following the General Meeting but prior to the Scheme Record Time, and to hold until after the Effective Date, one fully paid DEO Share. This will mean that Parkmead will be a member of DEO on the Effective Date and accordingly there will be no requirement under section 593 of the Companies Act for an independent valuation of the New Shares. The additional DEO Share to be subscribed for or acquired by Parkmead in advance of the Scheme Record Time will not be a Scheme Share and will not be subject to the Scheme.
Defined terms used in the above paragraph have the same meaning as set out in Part 9 of the scheme document published on 25 June 2012.
