("Plant Health Care" or "the Company")
Result of General Meeting
Plant Health Care (AIM / CISX: PHC.L), a leading provider of novel patent protected biological products to the global agriculture markets confirms that all Resolutions proposed at the General Meeting of the Company held on 15 April 2013 at the offices of Reed Smith LLP in London, were duly passed.
As a result of all the resolutions being passed at the General Meeting, the Company is able to proceed with its proposed Placing of 14,164,047 Placing Shares and Subscription for 2,955,397 Subscription shares, announced on 26 March 2013.
Application has been made for the admission to trading on AIM ("Admission") of 17,119,444 ordinary shares of 1p each with Admission expected to take place on 16 April 2013.
Following Admission the Company's issued share capital will consist of 70,505,571 ordinary shares of 1p each with voting rights attached to each share. The Company has no shares in Treasury, therefore the total number of voting rights in the Company will be 70,505,571.
The above total voting rights figure may be used by shareholders as the denominator for the calculations by which they will determine whether they are required to notify their interests in, or a change to their interest in, Plant Health Care plc under the FSA's Disclosure and Transparency Rules.
Terms used, but not defined in this announcement shall have the meaning as given to them in the announcement and Circular published by the Company on 26 March 2013.
