Annual General Meeting

 

Further to our announcement on 27 May 2010, Andes, the Latin American energy group, with electricity distribution, hydro-electric power and oil and gas interests in Argentina and certain other exploration interests outside Argentina, announces that its Annual General Meeting ("AGM") will be held at 3.00 p.m. on 29 June 2010 at the Radisson Montevideo Victoria Plaza Hotel in Montevideo, Uruguay instead of at the address set out in the 27 May 2010 announcement.

 

Towards the end of last year we established an American Depositary Receipt program and recently announced the admission of our shares to trading on the Buenos Aires Stock Exchange. These were important steps in helping to provide a broader base of investors, particularly in the Americas, with the opportunity to actively invest in Andes, which will hopefully create additional demand for and liquidity in our shares. Given these recent initiatives, the Board feels that it would be appropriate to change the venue originally chosen for our AGM and hold this year's AGM in the Americas, in Montevideo, Uruguay, to give local investors the opportunity to participate. We are also looking to arrange for an investors' presentation to be held in London later this year.

 

At the AGM, the Company will ask shareholders to approve, inter alia, a number of amendments to its articles of association primarily to reflect the implementation of the Shareholder Rights Directive in the UK in August 2009 and the enactment of the remaining provisions of the 2006 Act on 1 October 2009 and certain amendments to the Uncertificated Securities Regulations 2001 also in October 2009.

 

A shareholder circular regarding the amendments to the Company's articles of association along with Notice of the AGM and audited accounts for the year ended 31 December 2009 will be posted to all shareholders today and, in accordance with Rule 26 of the AIM Rules for Companies, will be available on the Company's website at www.andesenergiaplc.com.ar
