("the Company" or "the Group")
Directors' Shareholdings
Personal Group Holdings Plc operates an Inland Revenue approved Employee Share Ownership Plan (the "Plan") which allows employees of the Group the opportunity to purchase ordinary shares of 5p each in the Company ("Shares") by way of salary sacrifice, with the shares held in the Personal Group Employee Benefit Trust ("EBT").
Following a recent external review of the Plan by the Company's legal advisers (the "Review"), it has been determined that the Company's Non-Executive Directors do not meet the eligibility criteria for participation in the Plan.
Certain of the Group's Non-Executive Directors have historically participated in the Plan. As a result of the Review's findings the Company has sought to unwind the previous participation in the Plan of non-eligible directors. This has been effected through the sale of the shares, acquired by each director during their period of ineligibility, to the EBT. The sale price per share corresponds to the average price paid for these shares by each director, via salary sacrifice, during the period of acquisition.
Following these transactions the Directors' holdings are as follows:
