AGM Notification Amendment

Personal Group Holdings Plc (AIM: PGH), the workforce benefits and services provider, announces an amendment to its Notice of Annual General Meeting.

On 11 April 2023 the Company announced the posting of its Annual Report and Accounts for the year ended 31 December 2022, together with a Notice of Annual General Meeting to be held on 4 May 2023 (the "AGM Notice").

The Company notes that, due to a typographical error proposed in Resolution 8 (Authority to purchase own shares) as set out in the AGM Notice, the maximum price which may be paid for the shares was incorrectly stated as 15% above the average of the middle market price for those shares for the 10 business days prior to the day the purchase is made. The AGM Notice should have instead stated that the maximum price which may be paid for the shares is 5% above the average of the middle market price for those shares for the 10 business days prior to the day the purchase is made.

As this is a clerical error, no new AGM notice will be published but a copy of the corrected Notice of AGM is available on the following page of the Company's website Notice-of-AGM-2023.pdf (personalgroup.com). The Company intends to propose an amendment to correct the figure at the Annual General Meeting before Resolution 8 is put to the meeting.

The Company's Annual General Meeting will be held at 10:00am on Thursday 4 May 2023 at John Ormond House, 899 Silbury Boulevard, Milton Keynes, MK9 3XL.
