Premier Foods plc (the "Company")

Notification of transactions of directors and other persons discharging managerial responsibilities (PDMRs)

This notification is made in accordance with DR 3.1.4R(1)(a).

On 15 May 2012 (the "Grant Date") Bob Spooner, Group Supply Chain Director, was granted an award over 104,347 ordinary shares (the "Award") under the Premier Foods Restricted Stock Plan (the "Plan").

The Plan provides specific ad hoc awards to group management operating at below Board level. Awards made under the Plan are satisfied by shares purchased in the market.

The Award is structured as a nil cost option to acquire ordinary shares of 10p each in the capital of the Company. The Award will normally become exercisable under the Plan between the third anniversary of the Grant Date and the day before the seventh anniversary of the Grant Date, subject to the participant continuing to hold office or employment within the group. No consideration was paid for the grant of the Award and no consideration shall be payable when the award is exercised.
