NOTIFICATION OF TRANSACTIONS OF DIRECTORS AND OTHER PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES

We wish to notify the following, in accordance with DTR 3.1.4(1) (a) of the Disclosure Rules and Transparency Rules.

The Company has granted a matching award to Jim Smart, Chief Financial Officer, following his appointment on 19 October 2009. The award is in the form of a conditional award of shares in respect of up to 2,250,000 ordinary shares of 1p each in the Company under the Company's Co-Investment Plan ("CIP"). The matching award was granted on 13 November 2009 to Mr. Smart who has pledged shares under the terms of the CIP. No other consideration was payable for the grant of a matching award.

The vesting of the matching award is ordinarily subject to the holding of the relevant investment shares by the participant, the continued employment of the participant and the satisfaction of performance conditions based upon a combination of Earnings per Share growth and Total Shareholder Return as measured over a three-year period.
