Notification of Transactions by Directors and Persons Discharging Managerial Responsibilities

On 22 March, 2012 awards over ordinary shares in the capital of the Company were made to Michael Clarke as part of his recruitment package, taking into account the unusual circumstances for his recruitment and to compensate him for the forfeiture of certain share incentive awards with his former employer. The first award is over 5 million Premier Foods' ordinary shares and will become exercisable following the announcement of the Company's results for the 2012 financial year subject to his continued employment until that announcement date and the Remuneration Committee being satisfied with his and the Company's performance up to that date. He also received a second award over 3.75 million Premier Foods' ordinary shares which will become exercisable immediately following the announcement of the Company's results for the 2013 financial year subject to his continued employment until that announcement date and the Remuneration Committee being satisfied with his and the Company's performance up to that date. The Company's opening share price on the date of the award was 12.25p.

This notification is made in accordance with DTR 3.1.4 R(1)(a).
