Petrofac Limited27 March 2008 Petrofac Limited 27 March 2008 In accordance with DTR 3.1.4, Petrofac Limited (the "Company" or "Petrofac")announces that it was notified on 26 March 2008 that the Lamia Trust, a trust of which a director of the Company, Ayman Asfari, is a beneficiary, transferred14,000,000 ordinary shares in the Company to Mr Asfari on 25 March 2008 for nilconsideration. As a result of this transfer the Lamia Trust holds 55,282,114 shares, whichrepresents 16% of the Company's issued share capital as at 26 March 2008. MrAsfari's beneficial interest in Petrofac shares remains unchanged as a result of this transfer at 69,282,114 shares, representing 20% of the Company's issuedshare capital. The Company has 345,434,858 shares in issue as at today's date and all shareshave equal voting rights. In accordance with LR 9.6.17, the Company announces that the above transfer wasexecuted with the agreement of Credit Suisse Securities (Europe) Limited andLehman Brothers International, under the terms of the Lock-in arrangements putin place at the time of the Company's listing in October 2005 and described inthe Company's prospectus dated 21 September 2005. The shares transferred remain subject to all applicable Lock-in arrangements.
