Petrofac Limited03 April 2008 3 April 2008 PDMR SHAREHOLDINGS PETROFAC LIMITED (the "Company") In accordance with Disclosure and Transparency Rule 3.1.2, Mr Richard Milne notified the Company on 2 April 2008 of the following transactions in the ordinary shares US$0.025 ("shares") of the Company: 1. On 1 April 2008, Mr Milne sold 150,000 shares at £5.72 per share. 2. On 2 April 2008, Mr Milne entered into an unconditional contract with KRRM 2 Limited, a company wholly owned by Mr Milne. Under the contract, KRRM 2 Limited will have the right to acquire 570,000 shares from Mr Milne in the future at their market value at the date of completion. There is currently no change in the legal or beneficial interests in the shares or the voting rights attached to them. This transaction was entered into for personal tax planning reasons. Following these transactions, Mr Milne's total beneficial holding is 570,000 comprising 0.17% of the current shares in issue. The notifications were made by Mr Milne as a PDMR of the Company and in his capacity as a director and sole shareholder of KRRM 2 Limited, his connected person. The Company has 345,434,858 shares in issue as at today's date and all shares have equal voting rights.
