Pennant International Group plc announces that on 5 April 2015 Christopher Powell, Chairman of the Company, and Jennifer Powell, Non-executive director, each transferred 15,000 ordinary shares of 5p each ("Ordinary Shares") at a price of 72.5p per share to the Mr CC Powell Pension Fund and Mrs JK Powell Pension Fund respectively.

Additionally, on 7 April 2015 the Mrs JK Powell Pension Fund transferred 245,000 Ordinary Shares at a price of 75p per share to the Mr CC Powell Pension Fund.

The Company announces that further to the above transfers of Ordinary Shares, Mr Christopher Powell and Mrs Jennifer Powell and their Concert Party hold ordinary shares as follows. The table below shows the holdings as disclosed in the Rule 9 waiver circular dated 17 March 2015, and, as at today's date.

As a result of these transactions the total number of ordinary shares held by Mr Powell and Mrs Powell and their Concert Party has not altered. At today's date, the Company has 28,000,000 Ordinary Shares in issue of which 1,527,739 are held in treasury.
