Vislink PLC09 February 2005 9 February 2005 Listing Application Vislink Plc ("Vislink" or "the Company") Application has been made to the UK Listing Authority, the London Stock Exchangeand the Irish Stock Exchange for admission to the Official Lists and to tradingon the London Stock Exchange and the Irish Stock Exchange's respective marketsfor listed securities of 33,601,382 ordinary shares of 2.5 pence each ("NewOrdinary Shares") in relation to the proposed acquisition of Link ResearchLimited and the proposed Placing and Open Offer. Of the 33,601,382 New OrdinaryShares, 20,414,569 shares ("Open Offer Shares") are being issued in respect ofthe Placing and Open Offer and 13,186,813 shares ("Initial ConsiderationShares") are being issued as initial consideration under the acquisition of LinkResearch Limited. The Open Offer shares will be issued as fully paid and will rank pari passu withthe existing ordinary shares of the Company. The Initial Consideration Shares will be issued as fully paid and will rank paripassu with the existing ordinary shares of the Company, save they will not beentitled to receive any dividend declared in respect of the financial year ofVislink ended 31 December 2004. It is expected that Admission will become effective and that dealings in the NewOrdinary Shares will commence on 11 February 2005.
