Additional Listing & Total Voting Rights

A listing application has been made today by the Company for 25,000,000 ordinary shares of 5 pence each in the Company to be admitted to the Official List of the UK Listing Authority and to trading on the London Stock Exchange. The shares will be issued fully paid and will rank pari passu in all respects with the existing issued ordinary shares of the Company. The shares are anticipated to be admitted to listing on 19 October 2023. 

This figure represents shares issued to Accuro Trustees (Jersey) Ltd, trustee of the Pendragon Employee Benefit Trust (the "EBT") to be used to satisfy awards and options granted under the Company's various employee share incentive arrangements. Immediately following this issue, the EBT will hold 26,541,801 ordinary shares of 5 pence each in the Company representing approximately 1.87% of the Company's issued share capital.

Following the issue of 25,000,000 ordinary shares and their admission to trading, the Company has 1,421,944,405 ordinary shares of 5 pence each in issue, representing a total ordinary share capital of £71,097,220.25. The voting rights attached to the ordinary shares are on the basis of one vote per share, representing total voting rights of 1,421,944,405. There are no shares held in treasury.

This figure (1,421,944,405) may be used by shareholders (and others with notification obligations) as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
