Completion of Tender Offer

Further to the announcement made on 20 June 2025, the Board of the Company now confirms that all processes have been completed.

The 132,912,988 Ordinary Shares tendered have been bought back via Stifel into the Company's treasury account. Proceeds from the Tender Offer, at the Tender Price as announced on 20 June 2025 of 209.43 pence per Ordinary Share, will now be transmitted to those Shareholders who tendered at the Record Date, in accordance with the timetable, by 1 July 2025. No Ordinary Shares were sold under the Secondary Placing. 

Under the Company's Articles the Company has to make its next 100 per cent. tender offer on or around 30 June 2030.

The issued share capital of the Company remains at 331,750,000 Ordinary Shares of 5p per share; following the above purchase into treasury, the Company has 161,443,623 shares in treasury and the total voting rights and the figure to be used as the denominator for calculations of interests in the Company's voting rights is 170,306,377 shares.

Capitalised terms shall have the meaning attributed to them in the Circular dated 14 May 2025 unless otherwise defined in this announcement.
