For the purposes of DTR 5.6.1, of the Transparency Directive, PensionBee Group plc ('PensionBee' or the 'Company') would like to notify the market of the following:

As at 28 April 2023, the Company's issued share capital comprised 223,132,740 ordinary shares of £0.001 ('Shares'). The Company does not hold any Shares in treasury. The total number of voting rights attributable to the Shares is therefore 223,132,740.

The above figure of 223,132,740 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Shares under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
