Michael Page International plc (the "Company")

The Company announces that it has issued 342,775 new Ordinary shares of 1p each following the exercise of options under The Michael Page International plc 2010 Executive Share Option Scheme. The new Ordinary shares will rank pari passu with existing Ordinary shares in the Company.  

Following the exercise of options noted above the Company's share capital now comprises 321,435,690 Ordinary shares of 1p each, all of which carry voting rights. There are no Ordinary shares held in treasury.

Of the above number, 12,058,448 shares are held by the Company's employee benefit trust (the "EBT"). The right to receive dividends and to exercise voting rights has been waived by the EBT over 10,293,277 of these shares (the "Waived Rights Shares"). The Company had previously excluded the Waived Rights Shares from the total voting rights number reported but now, following a review and in accordance with the FCA's Technical Guidance Note on Total Voting Rights and good practice, the Company will include the Waived Rights Shares held by the EBT. Dividends on the Waived Rights Shares (which are held for the purpose of hedging share option exercises) will continue to be waived and the Waived Rights Shares should, therefore, be excluded when calculating earnings per share.

Accordingly, the total number of voting rights in the Company is 321,435,690 and this figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
