IMPORTANT NOTICE

COVID-19 precautionary measures applying at the Annual General Meeting

to be held on Thursday, 25 November 2021 at 11.00 a.m.

Origin Enterprises plc (the 'Company') considers the well-being of shareholders and employees as a top priority. In light of the most recent Irish Government advice and public health guidelines in relation to the COVID-19 pandemic, the Company's Annual General Meeting ("AGM") on Thursday, 25 November 2021 at The Merrion Hotel, Merrion Street Upper, Dublin 2, will take place under constrained circumstances.

Any shareholders planning to attend the AGM in person will be required to comply with appropriate COVID-19 precautionary measures. In particular, in order to be admitted to the AGM venue, attendees will be required to provide proof of either full vaccination or recovery from COVID-19 within the six months prior to the AGM, together with photographic I.D.. The meeting will take place in accordance with COVID-19 related capacity constraints and proceedings will be conducted as safely, swiftly and efficiently as possible. Refreshments will not be provided and the venue will be vacated promptly after the AGM. The Company reserves the right to refuse entry to the meeting where necessary to comply with COVID-19 related public health measures and advice.

Voting

The Company strongly encourages shareholders on this occasion to submit their proxy form remotely to ensure their vote counts at the AGM. By submitting a proxy form in favour of the chairman of the AGM shareholders can ensure that their votes on the resolutions are cast in accordance with their wishes without attending in person. Further details on proxy voting are provided in the Notice of AGM, which is also available in electronic form on the Company's website www.originenterprises.com.

Questions

While personal attendance by shareholders may be constrained, the Company wishes to offer shareholders the opportunity to submit questions for the Board relating to the business of the AGM in advance of the meeting, by emailing the Company at AGM2021@originenterprises.com, stating your name and identifying your shareholding. Questions are to be submitted by no later than 11.00 a.m. on Tuesday, 23 November 2021.
