Directors' Shareholdings
Origin Enterprises plc Long Term Incentive Plan 2012 ('2012 LTIP Plan')
Awards pursuant to the 2012 LTIP Plan over ordinary shares of €0.01 cent in the capital of Origin Enterprises plc ('Origin' or 'the Company') were granted to Origin's current Executive Directors on 13 December 2012 and 26 September 2014. The awards granted on 13 December 2012 resulted in Tom O'Mahony having a contingent interest in 544,554 ordinary shares and Declan Giblin having a contingent interest in 123,762 ordinary shares. The benefits arising with respect to these awards, which carried a subscription price of €0.04 per share, were subject to certain targets and thresholds as provided for under the 2012 LTIP Plan, including the financial performance of Origin over the three year period to 31 July 2015. Now that the targets and thresholds have been assessed, Tom O'Mahony and Declan Giblin have a beneficial interest in 181,518 ordinary shares and 82,508 ordinary shares, respectively, as a result of these awards. Ordinary shares are now issuable to these Directors upon them serving notice to the Company which can occur on any date up to 31 July 2021.
Following the benefits arising with respect to the 13 December 2012 awards made under the 2012 LTIP Plan, the interests of the Executive Directors in the Company's issued share capital is as set out in the below table.
