Share Capital Consolidation

Following the announcement on 21 September 2015 regarding the Share Capital Consolidation, the Company today announces the amendment of Existing Ordinary Shares of 1 pence each with ISIN GB00B1Y9V062 to New Ordinary Shares of 10 pence each with the new ISIN GB00BYYJL418 will become effective at 8.00am today (the "Amendment"). The New Ordinary Shares will continue to trade on the London Stock Exchange's main market for listed securities and on the premium listing segment of the Official List. Following the Amendment, there will be a total of 60,995,930 New Ordinary Shares in issue. The total number of voting rights in Norcros is 60,995,930.

Following the Amendment, the above figure of 60,995,930 may be used by shareholders as the denominator for the calculations by which they will determine their interest in, or a change to their interest in, the Ordinary Shares, in the event they are required to make a disclosure under the FCA's Disclosure and Transparency Rules.

With effect from 8.00am today, share certificates in respect of Existing Ordinary Shares will cease to be valid. It is expected that by 14 October 2015, the Company will despatch share certificates in respect of New Ordinary Shares together with cheques in respect of fractional entitlements where these exceed £1.00 to those shareholders who held their Existing Ordinary Shares in certificated form and until such time shareholders should retain any share certificate(s) they currently hold in respect of Existing Ordinary Shares. Shareholders who held their Existing Ordinary Shares in CREST will have the New Ordinary Shares to which they are entitled automatically credited to their CREST accounts at 8.00am today.
