Directors' Shareholding

The Company received notification on 7 January 2010 of the following transaction in Norcros PLC ordinary 1p shares ("Shares") on that day in which Mr. Joseph Matthews, Group Chief Executive, was interested:  The sale of 4,577,800 Shares to Mr. Joseph Matthews' SIPP with IPM SIPP Administration Limited in which Mr. Matthews has a beneficial interest. This transaction was undertaken off market for an arm's length consideration of 7p per share and has no impact on Mr. Matthews' beneficial holding in the Company's ordinary share capital which remains at 14,351,000 Shares. 7 January 2010
