PUBLICATION OF PROSPECTUS

Further to the announcement by Norcros plc on 12 November in relation to a Capital Raising to raise gross proceeds of approximately £30 million, Norcros plc announces that a prospectus dated 13 November (the "Prospectus") relating to the proposed Firm Placing of 285,766,932 New Ordinary Shares at 7 pence per New Ordinary Share and Placing and Open Offer of 142,804,496 New Ordinary Shares at 7 pence per New Ordinary Share, which includes a notice convening a general meeting, has been approved by the UK Listing Authority and will shortly be available for inspection at the UK Listing Authority's Document Viewing Facility, which is situated at 25 The North Colonnade, Canary Wharf, London E14 5HS. 

Copies of the Prospectus were posted on 13 November to Shareholders and will also be available shortly on the Group's website (www.norcros.com). The Prospectus can also be inspected at the offices of the Company at Ladyfield House, Station Road, Wilmslow, Cheshire SK9 1BU, England and at the offices of Addleshaw Goddard LLP at Milton Gate, 60 Chiswell Street, London EC1Y 4AG, during normal business hours on any weekday (except Saturdays, Sundays and public holidays).

Terms defined in the Prospectus have the same meanings in this announcement.
