This related to a bonus award, deferred until September 2006,all of which Mr Adams took in shares. The award vested as Ordinary shares in Novae Group plc on 22 September 2006,crystallising the income tax and employee's national insurance liabilitiesarising on this share bonus. The reduction in beneficial interest set out belowreflects the disposal of shares on the same day at 27.125p to satisfy theseliabilities.
