Transaction in own shares and director's dealing

The board of directors (the "Board") of Northern Bear announces that it yesterday purchased 133,992 ordinary shares of one penny each in the Company ("Ordinary Shares") at a price of 11.5p per Ordinary Share from Graham Forrest, the Company's former Chief Executive (the "Share Purchase").

The Ordinary Shares purchased on 13 December 2012 will be held by the Company in treasury. Accordingly, the total number of voting rights in the Company is now 17,670,184 and this figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FSA's Disclosure and Transparency Rules.

The Company was informed on 13 December 2012 that Howard Gold, Chairman of Northern Bear, acquired 50,000 Ordinary Shares on 13 December 2012. Mr Gold is now interested in 70,000 Ordinary Shares, representing 0.4 per cent. of the Company's issued share capital (excluding those held in treasury).
