Northacre PLC19 June 2007 Northacre Plc ("Company") Directors' disclosure The Company has been notified today that Mr Klas B. Nilsson, director, disposedon 18 June 2007, of 450,000 ordinary shares of 2.5p ("Ordinary Shares") at 77.5pence per share representing 1.98 per cent. of the current issued OrdinaryShares. Following this sale Mr Nilsson now holds 4,550,000 Ordinary Sharesrepresenting 20.03 per cent. of the issued Ordinary Shares. Prior to this sale, both Mr Klas B. Nilsson and Mr John RG Hunter, director, held 5,000,000 Ordinary Shares each representing 22.01 per cent each of theissued Ordinary Shares and not 5,500,000 Ordinary Shares each as had previouslybeen disclosed. The total number of Ordinary Shares in issue as at the date of this notice is22,713,644 with each share carrying the right to one vote. There are no sharesheld in treasury.
