("NetDimensions" or "the Company")
Issue of Equity and total voting rights
Upon the exercise of 22,000 options, 22,000 ordinary shares of US$0.001 each in the capital of the Company have been allotted and will be issued. These shares will rank equally with the existing ordinary shares of the Company. Application has been made for these ordinary shares to be admitted to trading on AIM ("Admission"), which is expected to become effective on or around 4 October 2012.
Following Admission the total number of ordinary shares in issue will be 25,319,826 with a nominal value of US$ 0.001 each ("Ordinary Shares"), with voting rights. The Company does not hold any Ordinary Shares in Treasury.
The above figure of 25,319,826 Ordinary Shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FSA's Disclosure and Transparency Rules.
