("NetDimensions" or "the Company")

Issue of Equity, PDMR shareholding and total voting rights

The Company was notified that Sanjay Vaze, Non-Executive Director of the Company, exercised the following share options.

Upon the exercise of the options, 40,000 shares of US$0.001 each in the capital of the Company have been allotted and will be issued. These shares will rank equally with the existing ordinary shares of the Company. Application has been made for these ordinary shares to be admitted to trading on AIM ("Admission"), which is expected to become effective on or around 28 September 2010. Mr Vaze's total beneficial interest in the Company following Admission will be 397,500 Ordinary Shares, representing approximately 1.59 per cent. of the issued share capital of NetDimensions.

Following Admission the total number of ordinary shares in issue will be 25,078,576 with a nominal value of US$ 0.001 each ("Ordinary Shares"), with voting rights. The Company does not hold any Ordinary Shares in Treasury.

Therefore, the total number of Ordinary Shares with voting rights will be 25,078,576. There are no shares held in treasury.

The above figure of 25,078,576 Ordinary Shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FSA's Disclosure and Transparency Rules.
