Changes to EGM Agenda, Interim Dividend and Record Date

NCSP Group (LSE: NSCP; MICEX: NMTP) hereby announces resolutions of PJSC NCSP's Board of Directors approved at the meeting dated August 8, 2016 in relation to the extraordinary general meeting of shareholders (EGM) to be held on September 2, 2016.

1. To approve the following candidates to the Board of Directors, and to declare void the list of nominees from Novoport Holding Ltd dated June 3, 2016.

1.1. Proposed by the Federal Agency for State Property Management (Rosimuschestvo) on behalf of the Russian Federation: Vitaly Sergeychuk, Deputy Division Director at Rosimuschestvo.

1.2. Proposed by Novoport Holding Limited:

1.2.1. Vladimir Kayashev,

1.2.2. Alexander Potapushin,

1.2.3. Natalia Izosimova,

1.2.4. Sergey Andronov, Vice President of Transneft,

1.2.5. Maksim Grishanin, First Vice President of Transneft,

1.2.6. Rashid Sharipov, Vice President of Transneft,

1.3. Proposed by Transfingroup management company: Evgeniy Stolyarov;

1.4. Proposed by Transneft Service LLC: Mikhail Barkov, Vice President of Transneft.

PJSC NCSP Board has seven seats. Six directors are elected. The Government of Russia appoints the seventh director by the golden share rule. Igor Levitin, Aide to the President of the Russia holds this seat.

2. The EGM shall be chaired by the Chairman of the Board of Directors, or by Sergey Andronov in the absence of the former.

3. To appoint corporate secretary of PJSC NCSP Vladimir Matveev as EGM Secretary.

4. To determine the following procedures of notifying the shareholders of inclusion of new resolutions on the agenda of the EGM:

4.1. by registered mail for shareholders, registered as eligible to participate in the EGM;

4.2. by online publication at http://nmtp.info;

4.3. by electronic communication certified with digital signature for nominee holders, registered as eligible to participate in the EGM.

5. To approve the following list of materials to be provided shareholders, eligible to participate in the EGM, and the procedures for providing these materials:

5.1. a copy of the resolution of PJSC NCSP Board of Directors on the inclusion of new resolutions on the agenda of the EGM;

5.2. draft resolutions included on the agenda of the EGM;

5.3. these materials shall be available for inspection starting August 12, 2016 from 10:00 to 16:00 on business days at Room 104, 2 Mira Street, Novorossiysk, Russian Federation;

5.4. and provided to nominee holders by electronic communication certified with digital signature.

6. To approve the form and the wording of the EGM voting bulletins.

7. To approve this recommendation to EGM on payment of interim dividend for the six months of 2016:

7.1. Pay interim dividend for the six months of 2016 in the amount of 8,994,333,792 rubles in cash;

7.2. Determine the dividend per share as 0.467 rubles;

7.3. Establish the record date for shareholders eligible to receive the dividend as September 14, 2016;

7.4. Pay dividend to nominee holders from September 28 to 29, 2016, and to other registered shareholders from September 27, 2016 to October 18, 2016.

8. To include the following additional resolutions in the agenda of the EGM

8.1. On payment of interim dividend for the six months of 2016, as detailed above.

8.2. On changes and additions to the charter of PJSC NCSP
