Directors' Shareholding

The Company was notified yesterday that, on 19 December 2011, Pierce Casey (Executive Chairman) purchased 25,000 ordinary shares in the issued share capital of the Company (the "Ordinary Shares"). The Company was also notified yesterday that Jon Moulton, an existing shareholder, purchased 25,000 Ordinary Shares on the same day.

Following a share subscription in the Company in June 2010, Mr Casey and Mr Moulton, who are deemed to be acting in concert for the purposes of the City Code on Takeovers and Mergers ("the Takeover Code") (together, the "Concert Party"), held 57.58 per cent., in aggregate, of the Company's issued voting share capital. On 31 May 2011, the Company completed a placing, following which the Concert Party's shareholding was reduced to 49.70 per cent. of the issued share capital. In accordance with Note 11 on Rule 9 of the Takeover Code, the Concert Party is able to increase its aggregate shareholding to in excess of 50 per cent. of the issued share capital of the Company before 31 May 2012 without incurring an obligation to make an offer for the entire issued share capital of the Company.

The purchases, together with the resultant holdings in the issued share capital, are as follows:

Accordingly, the Concert Party now holds 50.28 per cent. of the issued share capital and (for as long as they continue to be treated as acting in concert) will be able to acquire further shares, without incurring an obligation to make an offer to shareholders of the Company under Rule 9 of the Takeover Code. However, neither Mr Casey nor Mr Moulton will be able to increase their individual percentage interests in the Company's shares to 30 per cent. or more of the voting rights of the Company without Panel consent, or without making an offer for the Company.
