Mandatory Cash Offer Closed and Cancellation of Listing
The Board notes the announcement made on 2 November 2022 by Frasers Group plc (Frasers) stating that it owns or has received valid acceptances of the Mandatory Offer in respect of a total of 991,598,628 MySale Shares, representing approximately 95.35 per cent of MySale's existing issued share capital.
The mandatory cash offer for the entire issued and to be issued share capital of MySale closed at 1.00 p.m. on 1 November 2022 and is no longer capable of being accepted by MySale shareholders.
Cancellation of Listing
Following a request by Frasers, MySale has made an application for the cancellation of admission of its ordinary shares to trading on AIM ("Cancellation"). It is expected that such Cancellation will take effect on 1 December 2022, being 20 business days from the date of this announcement. Admission of MySale's ordinary shares to trading on AIM will be cancelled without the requirement for a resolution of shareholders approving such Cancellation, pursuant to Rule 41 of the AIM Rules.
