Director Dealing and Additional Listing

Further to the exercise of options announced this morning, Mulberry Group plc ("Mulberry" or the "Company") announces that 126,000 new ordinary shares of 5 pence each in the Company ("Ordinary Shares") were conditionally placed at a price of 955 pence per Ordinary Share in order to provide cash proceeds for the settlement of these options in lieu of Ordinary Shares. An application will be made to the London Stock Exchange for these new Ordinary Shares to be admitted to AIM. The new Ordinary Shares will rank pari passu in all respects with the existing Ordinary Shares in issue. It is expected that admission of the new Ordinary Shares will take place on 18 December 2013.

The issued Ordinary Share capital of the Company following admission of the new Ordinary Shares will be 59,997,458 Ordinary Shares. No Ordinary Shares are held in treasury. Therefore, the total number of voting rights in Mulberry is 59,997,458.

The figure of 59,997,458 Ordinary Shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the Ordinary Share capital of the Company under the FCA's Disclosure and Transparency Rules.

Following the transactions detailed in this and the announcement of this morning:-

Roger Mather's beneficial interest in the Company consists of 210,441 Ordinary Shares representing 0.35% of the Company's issued Ordinary Shares. Roger Mather also holds vested rights over 50,000 Ordinary Shares under Mulberry's Co-Ownership Plan, 3,253 unvested deferred Ordinary Shares and 3,253 unvested matching nil cost options under the Company's Deferred Bonus Plan and 51,690 unvested nil cost options under the Company's Long Term Incentive Plan.

Godfrey Davis' beneficial interest in the Company consists of 718,527 Ordinary Shares representing 1.20% of the Company's issued Ordinary Shares. Godfrey Davis also holds vested rights over 300,000 Ordinary Shares under Mulberry's Co-Ownership Plan.
