Results of Extraordinary General Meeting of Matomy Media Group Ltd.
Matomy Media Group Ltd. (LSE: MTMY, TASE: MTMY.TA) (the "Company"), announces that all resolutions proposed to Shareholders at its Extraordinary General Meeting ("EGM") held on 5 February, 2020, were duly passed.
There were duly represented at the meeting 47,867,250 shares, out of the 98,483,839 issued and outstanding shares of the Company.
The results of the EGM are as follows:

[1] For cautionary reasons, since out of the 47,351,109 shares voting only shareholders holding 37,496,142 shares declared they have no personal interest in the approval of the resolution above, an additional calculation of the results was made by excluding the votes of shareholders that did not declare whether they have personal interest in the resolution above and taking into account only the shareholders who declared they do not have personal interest in the resolution above (the "Pure Shareholders").
Out of 37,496,142 Pure Shareholders, this resolution was approved by the affirmative vote of all shareholders and there were no shareholders who voted against the proposed resolution.
[2] For cautionary reasons, since out of the 47,351,109 shares voting only shareholders holding 40,563,074 shares declared they have no personal interest in the approval of the resolution above, an additional calculation of the results was made by excluding the votes of shareholders that did not declare whether they have personal interest in the resolution above and taking into account only the shareholders who declared they do not have personal interest in the resolution above (the "Pure Shareholders").
Out of 40,563,074 Pure Shareholders, this resolution was approved by the affirmative vote of 38,113,526 shareholders and there were 2,449,548 shareholders who voted against the proposed resolution.
