Clarification with respect to Statement of Shareholder Support
Matomy Media Group Ltd. (LSE: MTMY, TASE: MTMY.TA) ("Matomy") provided a clarification concerning support letters provided in December 2017 to Matomy by a number of shareholders that, based on information currently available to Matomy, hold in the aggregate approximately 30% of Matomy's voting share capital (the "Letters of Support"). The clarification is provided further to previous disclosure made by Matomy on these Letters of Support.
The Letters of Support provide as follows:
"This support letter is provided pursuant to the confirmation we provided in connection with the interim financial statements for the period ending on 30 June, 2017 (the "H1 Report") with respect to the contemplated convertible bond issuance by Matomy Media Group Ltd. (the "Company").
As such we confirm that the undersigned agreed to provide sufficient financial support, if necessary, to the Company to ensure that the Company can continue its operations for at least twelve months from December 27, 2017, the date of filing of the prospectus in connection with the contemplated convertible bond issuance by Matomy Media Group Ltd. All eligible shareholders will have the right to participate under the same terms, which will be determined by the Board, subject to receipt of any applicable shareholder approvals."
Matomy has received two letters, one from legal counsel to the minority shareholder in Team Internet, Rainmaker Investments GmbH and the other from legal counsel to the shareholders who provided the Letters of Support, which include, inter alia, various conflicting claims in connection to the intent and interpretation of the Letters of Support. Redacted forms of these letters are attached hereto as Exhibits I and II respectively.
Matomy formed an independent sub-committee of its board of directors and engaged an independent legal corporate expert to allow the sub-committee to rely on qualified independent legal advice with respect to the correct interpretation of the Letters of Support and the required actions, if any, in connection therewith.
