DIRECTOR/PDMRΒ SHAREHOLDING

Melrose Resources plcΒ (LSE: MRS)Β ("the Company")Β announces that, onΒ 29Β JuneΒ 2009, itΒ received notificationΒ ofΒ a changeΒ in a Director's shareholding as a result of theΒ transferΒ of shares in the Company, further details of which are set out below.

Skye InvestmentsΒ LimitedΒ has resolved to transfer the legalΒ interest, but not the beneficial interest, of 5,000,000 ordinary shares in the Company toΒ Robert Adair, Executive Chairman. These ordinary shares have been pledged to HBOS plc as security for existing loan arrangements.

The total number of shares held byΒ Mr AdairΒ and SkyeΒ InvestmentsΒ LimitedΒ remains the sameΒ on a beneficialΒ interestΒ basis.

Notes:
(1) The shares were transferred at nil consideration from Skye Investments Limited to R F M Adair on 29 June 2009.
(2) As at 30 June 2009, Mr Adair is interested in 58,191,929 ordinary shares in the Company, of which 57,391,423 are beneficially owned by Skye Investments Limited, a company in which he has a controlling interest.
(3) The Company has 110,182,698 ordinary shares in issue.
