DIRECTOR/PDMR SHAREHOLDING

Melrose Resources plc (LSE: MRS) ("the Company") announces that, on 29 June 2009, it received notification of a change in a Director's shareholding as a result of the transfer of shares in the Company, further details of which are set out below.

Skye Investments Limited has resolved to transfer the legal interest, but not the beneficial interest, of 5,000,000 ordinary shares in the Company to Robert Adair, Executive Chairman. These ordinary shares have been pledged to HBOS plc as security for existing loan arrangements.

The total number of shares held by Mr Adair and Skye Investments Limited remains the same on a beneficial interest basis.
