RII PLC08 February 2005 FOR IMMEDIATE RELEASE 8 February 2005 RII plc ("RII" or the "Company") The Board of RII plc announces that, following instructions from holders of£30,000 Unsecured Zero Coupon Convertible Loan Notes 2011 ("Loan Notes"), itagreed on 8 February 2005 to allot 8,695,650 ordinary shares of 0.1p at 0.345pper share in accordance with the terms of the Loan Note Instruments. Application has been made for 8,695,650 ordinary shares of 0.1p to be admittedto trading on AIM. Admission is expected to take place on 14 February 2005.
