Mode Global Holdings Plc (LSE:MODE) announces that it has received notification that Jonathan Rowland, Executive Chairman, has transferred 18,973,559 ordinary shares of £0.01p each ("Ordinary Shares") ("Shareholding") for nil Consideration to JR Spac 1 Limited, a company wholly owned by Mr Rowland.

Following the transfer, Mr Rowland will continue to be beneficially interested in 18,973,559 Ordinary Shares, representing 20.75% of the issued share capital of the Company. The notification below provides further detail.

JR Spac 1 Limited and Mr Rowland have entered into a revised lock-in arrangement with the Company in respect of the Shareholding pursuant to which, subject to market standard exceptions, no disposal of the Shareholding can take place prior to 5 March 2023, an extension of 6 months to Mr Rowland's original lock in entered into at the time of the Company's IPO.
