Exercise of options, issue of shares and
Total Voting Rights
TLDH today announces that 200,000 new ordinary shares have been issued following the exercise, by a former consultant to the Company, of 200,000 options at 4p per ordinary share.
In addition, pursuant to the previously announced agreement with India TL Domain Pvt Ltd, a consultant to the Company has exercised his right to subscribe for 2,000,000 new ordinary shares for cash at a price of 8p per ordinary share (raising net proceeds to the Company of £160,000) and a warrant over 1,000,000 new ordinary shares at an exercise price of 12p per ordinary share. As announced by the Company on 20 May 2011, Minds + Machines, a wholly owned subsidiary of TLDH, has been appointed by India TL Domain Pvt Ltd ("ITLD"), with the approval of the city of Mumbai, to provide registry and consulting services for ITLD's proposed application for the generic top-level domain .MUMBAI.
The new ordinary shares will rank, pari passu, with all existing ordinary shares and application will be made for the 2,200,000 new ordinary shares to be admitted to trading on AIM. Admission is expected to take place on 13 June 2011.
The total number of ordinary shares in issue with voting rights following the issue of these new ordinary shares will be 363,574,213.
