MANAGEMENT CONSULTING GROUP 2008 PERFORMANCE SHARE PLAN
This notification is made in accordance with DTR 3.1.4R(1)(a).
On 3 June 2008, the following conditional share awards ("Awards") over ordinary shares of 25p each in Management Consulting Group PLC (the "Company") were made under the Management Consulting Group 2008 Performance Share Plan (the "Plan") to the following directors of the Company:

No consideration was paid for the grant of the Awards which are structured as conditional share awards.
The vesting of an Award is ordinarily subject to continued employment of the participant and the satisfaction of performance conditions over a three year performance period set by the Remuneration Committee of the Company.
The Company was informed of the above transactions on 3 June 2008.
