Director/PDMR Shareholding
Marks and Spencer Group plc (the 'Company') announces that it has been notified of the following transactions in the Company's Ordinary 25p shares undertaken by directors / persons discharging managerial responsibility ('PDMRs').
Deferred Share Bonus Plan - 2016/17 awardAs reported within the Annual Report on 8 June 2017, Marks & Spencer is paying a bonus to all eligible employees.
As a result, it was confirmed on 26 June 2017 that on 23 June 2017, awards under the Marks and Spencer Group Deferred Share Bonus Plan were made to the PDMRs of the Company.
These awards were made under the Company's Annual Bonus Scheme for 2016/17. This required these individuals to defer 50% of their bonus earned into shares in the Deferred Share Bonus Plan. This award was granted as a nil cost option, where a participant will normally be entitled to exercise their award and receive free shares between the third and tenth anniversary of grant 1. There will be no match paid against these deferred shares, although the value of dividends accrued, in the form of dividend equivalents will be paid at the end of the period (third anniversary). No price is payable on the exercise of the award.
1 Patrick Bosquet-Chavanne's award is structured as conditional shares which vest on the third anniversary of grant.
Restricted Share PlanIt was confirmed on 26 June 2017 that on 23 June 2017 awards were made under the Marks and Spencer Group Restricted Share Plan to three PDMRs of the Company.
These awards were granted as a nil cost option, where a participant will normally be entitled to exercise their award and receive free shares between the relevant vesting date and tenth anniversary of grant, subject to continued employment. These awards will vest in two equal tranches, on the first and second anniversary of the grant. There will be no match paid against these restricted shares, although the value of dividends accrued, in the form of dividend equivalents will be paid at the end of the relevant restricted period.
The notifications set out below are provided in accordance with the requirements of Article 19 of the EU Market Abuse Regulation.
