Issue of Equity

The Company announces that on 10 April 2013 it allotted and issued 89,900 newOrdinary Shares of 1p each at a price of 124.2 pence per share and 271,966 newOrdinary Shares of 1p each at a price of 121.3 pence per share.

Investors submitting applications received on or before 30 December 2012 wereallotted shares at 124.2 pence per share. Investors submitting applicationsreceived post 30 December 2012 were allotted shares at 121.3 pence per share.Both prices were determined in accordance with the pricing formula set out inthe Securities Note dated 29 November 2012.

Application will be made for the new Ordinary Shares to be admitted to theOfficial List of the UK Listing Authority and dealings are expected to commenceon 12 April 2013.

Following this allotment the issued share capital of the Company is 34,989,171Ordinary Shares.

These new shares in the Company have been issued subsequent to the linked offerfor subscription with Mobeus Income & Growth VCT plc and The Income & GrowthVCT plc launched on 29 November 2012 ("the Offer"). Pursuant to the terms ofthe Offer, each of the three participating companies are offering a maximum of10 million shares and based on the latest published net asset values per shareof each Company, the maximum aggregate funds expected to be raised is £27million (£9 million per Company).

A total of £24.3 million has been raised to date under the Offer of which £8.1million has been raised for Mobeus Income & Growth 4 VCT plc.

The Offer will, subject to the discretion of the Directors of the threecompanies acting jointly or the Offer being fully subscribed at an earlierdate, remain open until 12.00 noon on 30 April 2013 for the 2013/14 tax year.
