The following prospectus has been approved by the UK Listing Authority and is available for viewing:

Prospectus dated 23 April 2010 relating to the offering of 10.25% Senior Notes due 2015 of MHP S.A. and the offer to exchange existing notes of MHP S.A. for 10.25% Senior Notes due 2015 (the "Prospectus").
