Morgan Sindall PLC11 March 2008 Morgan Sindall plc ('the Company') Notification of Transactions by Directors and persons discharging managerialresponsibilities Deferred Share Bonus Awards The Company announces the number set out below of nil cost options over ordinaryshares of 5p each in the capital of the Company ('shares') that were exercisedby the executive directors of the Company on 10 March 2008 pursuant to the termsof the Deferred Share Bonus Awards approved by the Company on 24 March 2004.These options represented 25% of the annual bonus earned by the directors inrespect of the year ended 31 December 2004. No long term incentives were made tothe executive directors in respect of that financial year. In addition, Paul Whitmore has disposed of a proportion of the options equal tothe tax and National Insurance Contribution payable in respect of them. These nil cost share options were satisfied from market purchased shares held inthe Morgan Sindall Employee Benefit Trust. Theseoptions were granted to Paul Smith as part of his initial employment package in2003 and in lieu of participation in the Company's Long Term Incentive Plan inrespect of that year. These share options were satisfied by the issue of new shares.
