AGM Statement

M&G High Income Investment Trust P.L.C.

Following the Annual General Meeting of the Company held today, the Board is pleased to announce that all the resolutions put to shareholders were passed, including three special resolutions which:

i. authorise the directors to allot a limited number of shares of each class

of share capital in issue up to a maximum aggregate nominal amount;

ii. authorise the Company to buy back and cancel up to 8.027 million of each of

its Zero Dividend Preference Shares, Income Shares and Capital Shares

(equivalent to 14.99% of the Company's Shares in the market); and

iii. approve the adoption of revised Articles of Association.
